Employee Stock Ownership Plan
A program that gives employees an ownership interest in the company through shares, used to align employee incentives with company performance and provide a retirement benefit.
In an ESOP, the company typically sets up a trust that holds shares on behalf of employees. Shares are allocated to individual employee accounts based on compensation or seniority, and vest over time. When employees leave or retire, they receive the value of their vested shares — either as company stock or cash. This makes the ESOP both a compensation tool and a retirement savings vehicle.
ESOPs are also used as succession planning tools — allowing a business owner to sell the company to employees rather than an outside buyer. The owner gets fair market value, employees gain ownership, the company preserves its culture and independence, and significant tax advantages apply to both the seller and the ESOP trust. Roughly 6,500 companies in the U.S. use ESOPs, covering about 14 million employees.
